Marvell Technology [announced](https://investor.marvell.com/news-events/press-releases/detail/1040/marvell-and-lumentum-to-combine-creating-a-category-leader-in-ai-connectivity?ref=financeherald.com) Monday it will acquire Lumentum Holdings in an all-stock deal that values the optical-components maker at an implied enterprise value of $115 billion. The combination is a bet that optical connectivity, not copper, will carry the next stage of AI infrastructure.

Under the deal, Lumentum holders will receive a fixed 4.500 shares of Marvell common stock for each Lumentum share, implying about [$1,132](https://investor.marvell.com/sec-filings/all-sec-filings/content/0001193125-26-442728/d352474d425.htm?ref=financeherald.com) per share and a premium of approximately 23.9% to each company's unaffected closing price as of October 28, 2026\. Because the ratio is fixed and the close is not expected until the first half of calendar year 2028, the cash-equivalent value of that package will move with Marvell's stock until the deal is done. After closing, Marvell stockholders would own about 67% of the combined company and Lumentum stockholders about 33% on a fully diluted basis.

The premium is also a signal of how the two boards are framing the transaction. A 23.9% pickup is modest for a company that already sits at the center of AI optical demand. The ownership split, the all-stock structure, and the board math all point toward a merger-of-equals logic more than a classic cash takeout. Matt Murphy will remain chairman and chief executive. Three Lumentum directors, including chief executive Michael Hurlston, will join Marvell's board, which currently has seven members. Both boards approved the deal unanimously.

### Optical after copper hits its limits

Marvell's stated case is physical. Copper-based connectivity is hitting physical limits, the company said, which is driving a shift to optical. The combined company would span electrical and optical interconnect, network switching, custom XPU, silicon photonics, compound semiconductors including indium phosphide, and advanced packaging. Marvell was already a player in optical interconnect before this deal, and buying Lumentum folds in the lasers, photonic components, and circuit-switching gear that sit on the other side of that bet.

The companies put the combined total addressable market at $550 billion and say they have line of sight to more than $1 billion in annual run-rate cost synergies. The deal is expected to be accretive to Marvell's non-GAAP earnings per share in the first year after close. Those are management targets, not reported results, and they sit behind a close that is still more than a year away.

### Lumentum is already running hot

The asset Marvell is paying stock for is not a turnaround. Lumentum's first-quarter fiscal 2027 [results](https://www.investor.lumentum.com/financial-news-releases/news-details/2026/Lumentum-Announces-First-Quarter-of-Fiscal-Year-2027-Financial-Results/default.aspx?ref=financeherald.com) showed net revenue of $1.26 billion for the quarter ended September 26, 2026, up 136.5% from $533.8 million a year earlier. GAAP gross margin was 51.0% and non-GAAP gross margin was 53.2%. GAAP net income was $360.3 million, or $3.54 per diluted share. Non-GAAP operating margin reached 42.3%.

Guidance points still higher. For the second quarter of fiscal 2027, Lumentum expects revenue of $1.575 billion to $1.625 billion and non-GAAP operating margin of 45.0% to 46.0%. Hurlston said the company had secured a second major NPO/CPO win backed by purchase commitments exceeding $5 billion, that demand visibility in optical circuit switching is expanding, and that it expects about $350 million of sequential revenue growth in the second quarter. The company held $2.0 billion in cash, cash equivalents, and short-term investments at quarter end.

That boom is the other side of the 23.9% premium. Lumentum is already converting AI optical demand into revenue, margin, and a growing order book. Marvell is offering a fixed stock ratio rather than cash, asking Lumentum holders to ride Marvell's share price through a first-half 2028 close in exchange for a third of a larger connectivity company. Whether $115 billion of implied enterprise value is the right price for that shift from copper to light will be settled in the stock, not at signing.
